Terms of Service

By accessing the Vercrio platform (the “Service”) at vercrio.com or any related domain, you agree to be bound by these Terms of Service (the “Terms”). If you do not accept the Terms, you may not use the Service.

If you are accepting on behalf of a company, you represent that you have authority to bind that company to these Terms.

Vercrio provides phishing-resistant authentication, identity verification, and related administrative tooling, including but not limited to:

• Lucid Auth™ — device-bound, biometric-verified login that replaces passwords and legacy second factors.
• PeerProofing™ — live video verification at user onboarding and recovery, performed by a designated peer or admin within your organisation.
• Audit and reporting — signed authentication events, exportable for compliance purposes (SOC 2, ISO 27001, and similar).

• You are responsible for the security of your administrator accounts, API keys, and any tenant-level secrets you generate.
• You must promptly notify Vercrio of any suspected unauthorised access at security@vercrio.com.
• You are responsible for the actions of users you provision into your Vercrio workspace, including granting and revoking access.

Paid plans are billed on a per-user / month basis unless otherwise agreed in a separate order form.

• Billing. You agree to provide accurate billing information and to keep it up to date.
• Cancellation. You may cancel at any time. Paid features remain available until the end of the then-current billing period.
• Refunds. Fees are non-refundable except where required by law or where an order form / SLA explicitly provides otherwise.

You agree not to use the Service to:

• Impersonate another person during identity verification, or otherwise misrepresent who you are.
• Enrol users without their informed consent.
• Attempt to bypass, disable, or reverse-engineer the Service's security mechanisms.
• Use the Service to violate any applicable law, including privacy and biometric data laws.

Breach of this section may result in immediate suspension or termination of your account.

We aim to keep the Service available 24/7 and continuously improve its performance. Specific availability commitments and remedies for missed targets apply only to Enterprise plans under a signed Master Service Agreement.

We may perform scheduled maintenance and will use commercially reasonable efforts to provide advance notice when doing so requires downtime.

The service is provided “as is” and “as available”. Vercrio disclaims all warranties of any kind, whether express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We make no warranty that the service will meet your specific requirements, be uninterrupted, timely, secure, or error-free.

To the maximum extent permitted by law, Vercrio and its directors, employees, suppliers, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your access to or use of (or inability to use) the Service.

In no event will Vercrio's aggregate liability for any claim exceed the amount you paid to Vercrio in the twelve (12) months preceding the event giving rise to the claim, or one hundred US dollars ($100), whichever is greater.

You agree to defend, indemnify, and hold Vercrio and its affiliates harmless from any claim, liability, or expense (including reasonable attorneys' fees) arising out of (a) your use of the Service, (b) a breach of these Terms, or (c) your violation of any law or the rights of a third party in connection with your use of the Service.

Either party may terminate the relationship for material breach that is not cured within thirty (30) days of written notice. We may suspend or terminate your access immediately for violations of the acceptable use section or for legal reasons.

On termination, your access is removed and your data is retained or deleted according to our Privacy Policy.

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law principles. Any dispute will be resolved in the state or federal courts located in Delaware.

We may revise these Terms from time to time. Material changes will be communicated through the Service or by email at least thirty (30) days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
